FedEx® Sustainability Insights (“FSI”) for the FedEx Dataworks ShopRunner by FedEx Portal
Service Description
This Service Description is part of, and governed by, the FedEx Master Platform Subscription Agreement, including applicable Policies referenced therein (“MPSA”) and Order Form(s) (collectively, the “Agreement”) entered into by Customer with FedEx for access to and use of the FedEx Subscription Service currently known as “FedEx Sustainability Insights” on the FedEx Dataworks ShopRunner by FedEx Portal.
SECTION 1. DEFINITIONS
“Eligible Services” means those Transportation Services for which FSI is available, as determined by FedEx, from time to time, in its sole discretion.
“Eligible Shipment(s)” means those shipments, utilizing Eligible Services, tendered to the FedEx affiliate providing the Eligible Services in accordance with instructions as such FedEx affiliate may provide to Customer, from time to time, in its sole discretion.
“FSI” means the Subscription Services known as “FedEx Sustainability Insights”.
“FSI Data” means FSI Historic Data Only and/or FSI Predictive and Historic Data.
“FSI Historic Data Only” means the Insights regarding Customer's Eligible Shipments that have occurred.
“FSI Predictive and Historic Data” means the (i) Insights regarding Customer's Eligible Shipments that have occurred (a.k.a. “FSI Historic Data Only”); and, (ii) predictive Insights regarding an intended future Eligible Shipment, contingent upon FedEx receiving the necessary information from Customer, via the applicable the Subscription Service.
Capitalized terms used but not defined in this Policy have the meaning set forth in the Agreement. Terms not defined in the Agreement have the meanings set forth in the Transportation Agreement.
SECTION 2. DESCRIPTION AND REQUIREMENTS
- Pursuant to the terms of the Agreement, FedEx will use commercially reasonable efforts to provide Customer access to and use of FSI Data via Shop Runner by FedEx Portal (as each is further described in the Agreement). Without prejudice to the Disclaimer of Warranties and Liabilities applicable to the Subscription Services, Customer understands that the FSI Data to be provided will be the data and information available to FedEx at the time, that it may be limited and incomplete and that such FSI Data may change or be modified. FSI Data relies on the availability of such third-party data may be impacted and not available in the event FedEx does not receive third-party data. Third-party data is dependent upon FedEx receiving it from the applicable third party.
- The FSI Data is based upon an analysis of emissions and shipment information for the identified FedEx account number(s), FedEx tracking number(s), or Global Entity Number (GEN). The methodology used to calculate the CO2e emissions information is believed to produce substantially accurate emissions data. However, certain FSI Data outside the U.S. and Canada may be incomplete due to system incompatibility. Excluded data may include, but is not limited to, domestic shipment data for certain countries/territories, including, but not limited to, Australia, Brazil, China, France and Poland. FSI API features and functionality that rely on the availability of such third-party data may be impacted and not available in the event FedEx does not receive third-party data. Third- party data is dependent upon FedEx receiving it from the applicable third party.
- The methodology used to calculate the FSI Data is consistent with the World Resources Institute (WRI) Greenhouse Gas (GHG) Protocol, and includes industry standard emission factors, utilities and transportation specific operational metrics. The methodology also conforms to the Global Logistics Emissions Council (GLEC) Framework. The GLEC Framework was designed to calculate greenhouse gas emissions across a variety of transportation modes. FSI calculates well-to-wheel CO2e (includes carbon (CO2), methane (CH4), and nitrous oxide (N2O)) emissions for each individual package, which includes both transport and non-transport emissions. Transport emissions include aircraft, truck, rail, and ocean and are calculated for each transport segment between the origin and destination. FedEx data systems identify each stop a package makes and the mode of transport by which the package moves between each stop. Non-transport emissions are associated with energy use and mobile equipment (e.g., cargo tugs, forklifts, etc.) at facilities and are allocated to packages based on package weight.
- Customer will have access to the following FSI capabilities through the
Subscription Service:
- Customer can assign roles/responsibilities for multiple user access
- Customer can view and download Insights for Eligible Shipments
- Customer will be able to access FSI Historic Data Only Insights generated for Eligible Shipments transported within the previous 5 days
- Customer will be able to configure reporting of Insights
- Through the ShopRunner by FedEx Portal, the Subscription Services allow a customer
to integrate and partially configure a Dataworks hosted graphical user interface (“GUI”) to facilitate
emissions reporting. These configurations include the following.
- Customer will be able to view emissions using EANs and/or associated tracking/package ID level
- Emissions are shown by associated 'payor' account only. Customer(s) will have to provide EANs by 'payor' account during onboarding.
SECTION 3. Transportation Services
- Customer acknowledges that the Agreement is not the contract of carriage for shipments tendered by Customer. Transportation Services are subject to the Transportation Agreement and the applicable Service Offering.
- All shipments sent via the Eligible Services, including Eligible Shipments, are subject to the terms and conditions set out in the Transportation Agreement, the applicable FedEx Service Guide and Contract of Carriage as applicable and which include without limitation various exclusions and limitations of FedEx liability for loss and/or damage of shipments and the transportation charges and surcharges for the Eligible Services. Nothing in this Agreement alters the cargo liability under any Contract of Carriage applicable to an Eligible Shipment.
- Customer acknowledges that Insights are provided to Customer pursuant to the Agreement, shall not be used by Customer as a basis for transportation-related claims made to FedEx, if any, that Customer may file under the Transportation Agreement.
- Nothing in the Agreement alters the cargo liability under the Transportation Agreement.
