FedEx Dataworks Predictive Delivery Estimate API Service Description

This Service Description is part of, and governed by, the FedEx Master Platform Subscription Agreement (“MPSA”) and Order Form(s) entered into by Customer with FedEx for access to and use of the FedEx Subscription Services currently known as “FedEx Dataworks Predictive Delivery Estimate API.”

SECTION 1. DEFINITIONS

Capitalized terms used but not otherwise defined in this Service Description have the meanings as set forth below:

“Eligible Services” means the following Transportation Services: U.S. domestic parcel transportation services offered by FedEx Ground and Package Systems, Inc. (“FedEx Ground”) and Federal Express Corporation (“FedEx Express”), with the exception of the FedEx Ground Economy service (formerly known as FedEx SmartPost) provided by FedEx Ground.

“Eligible Shipment(s)” means those potential shipment(s), utilizing Eligible Services, for which Customer has provided FedEx with the required inputs for FedEx to return a predicted delivery estimate.

“FedEx APIs” or “APIs” means, with respect to this Subscription Service, the FedEx Dataworks Predictive Delivery Estimate API.

“Transportation Agreement” means the current transportation agreement and any amendments or attachments thereto between FedEx and Customer related to the provision of Transportation Services.

“Transportation Services” means those domestic and international transportation services, as described in the then current version of the applicable Service Guide. For the avoidance of doubt, Transportation Services are Core Services (as defined in the MPSA).

Capitalized terms used but not defined in this Service Description have the meaning set forth in the Agreement. Terms not defined in the Agreement have the meanings set forth in the Transportation Agreement.

SECTION 2. DESCRIPTION AND REQUIREMENTS

  1. Pursuant to the terms of the Agreement, FedEx will use commercially reasonable efforts to provide Customer access to and use of the FedEx Dataworks Predictive Delivery Estimate API and Insights (as each is further described in the Agreement).
  2. The Insights are various delivery estimate information for potential shipment(s), utilizing Eligible Services, for which Customer has provided FedEx with the required inputs for FedEx to return a delivery estimate. The Insights include:
    • Estimated Delivery Date (EDD) - The Estimated Delivery Date (“EDD”) is the then currently estimated specific date on which delivery of the Eligible Shipment is currently expected.
    • Estimated Delivery Date (EDD) Confidence Score - The Estimated Delivery Date Confidence Score represents the likelihood (as a percentage) of the Eligible Shipment being delivered on the Estimated Delivery Date
    • Estimated Delivery Time Window (EDTW) - The Estimated Delivery Time Window (“EDTW”) is the then current estimated four-hour time window in which delivery of the Eligible Shipment is expected to occur
    • Estimated Delivery Time Window (EDTW) Confidence Score - EDTW Confidence Score represents the likelihood (as a percentage) of delivery of the Eligible Shipment occurring within the then current EDTW.
  3. In order to receive the insights listed in section (b), Customer is required to submit the following information to the FedEx Dataworks Predictive Delivery Estimate API, in the specified format:
    • Package Origin - A valid US postal code for the address from where the Eligible Shipment will be shipped. This would typically be the postal code for Customer's fulfillment center, warehouse, a retail location or the location where the packages will be tendered to FedEx for shipping.
    • Package Destination - A valid US postal code for the address where the package will be delivered. This would typically be the recipient's US postal code.
    • Estimated Date Time of Possession - This represents the expected date and time by when the Customer will tender the Eligible Shipment to FedEx.
    • Preferred FedEx Eligible Services - This represents the FedEx Service Type(s) Customer intends to utilize for the Eligible Shipment.
  4. Customer may request Estimated Delivery Date and Estimated Delivery Time Window for one Eligible Shipment at a time for multiple Eligible Services.
  5. Access to and use of the Subscription Service requires Credentials. FedEx provides Credentials only to those Customers that have executed an Order Form for the Predictive Delivery Estimate Subscription Service. The Credentials include an access token.
  6. Customer must use the Access Token in order to request Predictive Delivery Estimate Insights as described in sections (c) and (d).
  7. In order to access or use FedEx API, Customer must share applicable FedEx Transportation Services account numbers.
  8. Customer may obtain information and data from other FedEx resources regarding an Eligible Shipment that is different from the Insights provided through the FedEx Dataworks Predictive Delivery Estimate Subscription Service. Customer is solely responsible for analyzing data from disparate resources and conclusions drawn from such analysis.
  9. While the Predictive Delivery Estimate Insights are predictive and take into account recent term network performance and other factors, the estimates may be the same as the standard transit/commit times published by FedEx.

SECTION 3. Transportation Services

  1. Customer acknowledges that the Agreement is not the contract of carriage for shipments tendered by Customer. Transportation Services are subject to the Transportation Agreement and the applicable Service Offering.
  2. Customer acknowledges that Insights are provided to Customer pursuant to the Agreement, shall not be used by Customer as a basis for transportation-related claims made to FedEx, if any, that Customer may file under the Transportation Agreement.
  3. Nothing in the Agreement alters the cargo liability under the Transportation Agreement.
