Premium Visibility Insights Service Description

This Service Description is part of, and governed by, the FedEx Master Platform Subscription Agreement (“MPSA”) and Order Form(s) entered into by Customer with FedEx for access to and use of the FedEx Subscription Services currently known as “Premium Visibility Insights.”

SECTION 1. DEFINITIONS

Capitalized terms used but not otherwise defined in this Service Description have the meanings as set forth below:

“Eligible Services (Webhooks)” means U.S. domestic transportation services offered by Federal Express Corporation (“FedEx Express”); and, FedEx Freight, Inc, all as described in the applicable Core Services Offerings (e.g., Service Guide), enabled for Customer's account number(s) that are enrolled in the Subscription Service.

“Eligible Services (API)” means U.S. domestic transportation services offered by FedEx Express, all as described in the applicable Core Services Offerings (e.g., Service Guide), enabled for Customer's account number(s) that are enrolled in the Subscription Service.

“Eligible Shipment(s)” means those shipment(s), utilizing Eligible Services, that are associated with Customer's account number(s) enabled for the Subscription Service, for which Customer has provided FedEx with the required inputs for FedEx to return the below Insights.

“FedEx APIs” or “APIs” means, with respect to this Subscription Service, the APIs for the Premium Visibility Insights Subscription Service.

“FedEx Webhooks” or “Webhooks” means, with respect to this Subscription Service, the Webhooks for the Premium Visibility Insights Subscription Service.

“Transportation Agreement” means the current transportation agreement and any amendments or attachments thereto between FedEx and Customer related to the provision of Transportation Services.

“Transportation Services” means those domestic and international transportation services, as described in the then current version of the applicable Service Guide. For the avoidance of doubt, Transportation Services are Core Services (as defined in the MPSA).

Capitalized terms used but not defined in this Service Description have the meaning set forth in the Agreement. Terms not defined in the Agreement have the meanings set forth in the Transportation Agreement.

SECTION 2. DESCRIPTION AND REQUIREMENTS

  1. Pursuant to the terms of the Agreement, FedEx will use commercially reasonable efforts to provide Customer access to and use of the Subscription Service and related Insights (as each is further described in the Agreement).
  2. This Subscription Service provides shipment visibility Insights regarding Eligible Shipment(s) for the FedEx account number(s) enabled for the Subscription Service or FedEx tracking number(s) associated with enabled FedEx account number (s). For the avoidance of doubt, Insights are available only for Eligible Shipments associated with FedEx account number(s) enabled for the Subscription Services. Under this Subscription Service the Insights are returned through a Customer integration with the API and/or Webhooks for this Subscription Service. Please note: the Insights available will differ depending on whether the integration is made to the APIs or the Webhooks. A more detailed list of Insights will be provided in the onboarding documentation provided after execution of the applicable Order Form(s). The Insights returned under this Subscription Service include:
    • Shipment Status Information— Including shipment status (Label Created, In-Transit, Ready for Pickup, Delivered, etc), commit time, delay reason, event history, last known location, picture proof of delivery (PPOD), signature proof of delivery (SPOD), etc.
    • Shipper and Recipient information— name, address, contact information etc. for the sender and recipient of an Eligible Shipment (as provided by Customer).
    • Shipment information— Information includes, tracking number, service type, ship date, special handling, shipment duration in network, healthcare identifier, shipment weight, dimensions, Multi-Piece Shipment (MPS) details etc.
    • Return details— If the shipment is a return shipment, then the information includes return reason, return authorization name, return to shipper tracking number, etc.
    • Shipment Estimates and Predictions— Information includes, delivery prediction, estimated delivery date (“EDD”), estimated delivery time window (EDTW), confidence score, etc. harmonized code, etc.
    • Monitoring and Intervention Information— exception reason, support update, monitored, intervened, CER number, CER count, SenseAware ID, SenseAware Mobile, etc.

    Insights and datapoints available may change, from time to time, in FedEx's sole discretion, and without notice.

  3. If Customer also has a subscription to a FedEx Surround, there may be additional data elements available through this Subscription Service. Any additional data elements will vary depending on the enabled FedEx Surround subscription.
  4. Customer may obtain information and data from other FedEx resources regarding an Eligible Shipment that is different from the Insights provided through the Subscription Service. Customer is solely responsible for analyzing data from disparate resources and conclusions drawn from such analysis.

Please note the following for the FedEx Webhooks:

  1. FedEx Webhooks provides Customer the ability to subscribe to receive Insights for Eligible Shipments upon the occurrence of certain specified events.
  2. Access to and use of FedEx Webhooks requires API credentials to register and subscribe.
  3. In order to use Webhooks, Customer provide an URL (“Callback URL”) to which FedEx can communicate Insights via the Subscription Service.
  4. If FedEx receives a response from the Callback URL that there was a failure to receive the transmission from FedEx, FedEx may attempt to send the Insights to the Callback URL before moving the Insights for that event into a failure queue insights in the failure queue may be available, for up to seven (7) days following the event, for Customer to retrieve, as set out in the documentation
  5. It is Customers responsibility to have the call back URL available all time to receive events properly.
  6. Customer is required to, and only permitted to, subscribe using its own FedEx account number(s).

Please note the following for the FedEx APIs:

  1. Access to and use of the Subscription Service requires Credentials. FedEx provides Credentials only to those Customers that have executed an Order Form for the FedEx API Subscription Service. The Credentials include an access token.
  2. Customer must use the Access Token (valid for 30 min) in order to request Insights using FedEx API as described in section (b).
  3. In order to access or use FedEx API, Customer must share applicable FedEx Transportation Services account number(s).
  4. The FedEx API allows a Customer to receive responses in paginated format of up to 100 tracking numbers per page for Eligible Shipments. Customer may make subsequent calls using the continuation token provided in the API response.
  5. Some data fields require subscriptions to additional FedEx services which are sold separately.
  6. Further details on FedEx API integration and operation can be found in the provided customer documentation.
  7. Customer is required to, and only permitted to, subscribe using its own FedEx account number(s).

SECTION 3. Transportation Services

  1. All shipments sent via the Eligible Services, including Eligible Shipments, are subject to the terms and conditions set out in the Transportation Agreement, the applicable FedEx Service Guide and Contract of Carriage as applicable and which include without limitation various exclusions and limitations of FedEx liability for loss and/or damage of shipments and the transportation charges and surcharges for the Eligible Services.
  2. Customer acknowledges that Insights are provided to Customer pursuant to the Agreement, shall not be used by Customer as a basis for transportation-related claims made to FedEx, if any, that Customer may file under the Transportation Agreement.
  3. Nothing in the Agreement alters the cargo liability under the Transportation Agreement.
